These Terms of Service constitute a legally binding agreement between you and Songyuan Jiushi Network Technology Co., Ltd., doing business as Eternal Verse. By accessing our website at https://www.eternalverse.lat or engaging our computer systems design and integrated solutions services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.
Eternal Verse provides professional computer systems design and related services, including but not limited to computer integrated systems design, technical consulting, scientific and technical services, and specialized design services. Our services are tailored to meet the specific needs of businesses and organizations requiring advanced technology solutions. The scope, deliverables, timelines, and pricing for specific projects will be outlined in separate service agreements or statements of work.
Our services are intended for businesses, organizations, and professional users. By using our services, you represent that you are at least 18 years of age and have the legal authority to enter into binding contracts. If you are accessing our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.
All content, materials, software, designs, documentation, and intellectual property provided by Eternal Verse remain our exclusive property unless otherwise specified in a written agreement. This includes but is not limited to trademarks, service marks, logos, trade names, system architectures, proprietary methodologies, and technical documentation. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any of our intellectual property without prior written consent. Custom solutions developed specifically for your project will be governed by the terms outlined in your service agreement.
Successful delivery of our services requires your cooperation and timely provision of necessary information, access, and resources. You agree to provide accurate and complete information, grant necessary access to systems and personnel, respond to requests for feedback and approvals in a timely manner, and comply with all applicable laws and regulations. Delays caused by failure to meet these obligations may result in project timeline extensions and additional costs.
Fees for our services will be specified in project proposals, service agreements, or statements of work. Unless otherwise agreed, payment terms are net 30 days from invoice date. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue balances. All fees are exclusive of applicable taxes, which are the responsibility of the client.
Both parties acknowledge that they may have access to confidential information during the course of our business relationship. Confidential information includes technical data, business strategies, customer information, pricing, and proprietary methodologies. Each party agrees to maintain the confidentiality of such information, use it only for the purposes of the business relationship, and not disclose it to third parties without prior written consent. These confidentiality obligations survive the termination of our business relationship.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, except as expressly stated in a written service agreement, our services are provided on an as-is basis. We disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or meet all of your requirements.
To the maximum extent permitted by law, Eternal Verse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, arising from or related to our services. Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Eternal Verse, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of our services, violation of these Terms, infringement of any intellectual property or other rights, or any harmful or unlawful conduct.
These Terms remain in effect while you use our services. Either party may terminate a service engagement as specified in the applicable service agreement. Upon termination, you must pay all outstanding fees for services rendered. Provisions regarding intellectual property, confidentiality, warranties, limitation of liability, and indemnification survive termination. We reserve the right to suspend or terminate access to our services immediately if you breach these Terms or engage in conduct that we determine to be harmful to our business or other clients.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its rules. The arbitration shall be conducted in Chinese, and the arbitral award shall be final and binding on both parties.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, pandemics, or failures of third-party services or infrastructure. The affected party shall promptly notify the other party and make reasonable efforts to mitigate the impact of such circumstances.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated revision date. Material changes will be communicated through email or prominent notice on our website. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically to stay informed of any updates.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing.
These Terms, together with any service agreements, statements of work, and our Privacy Policy, constitute the entire agreement between you and Eternal Verse regarding the use of our services and supersede all prior agreements and understandings, whether written or oral. Any amendments or modifications must be made in writing and signed by authorized representatives of both parties.
